Dentons is pleased to announce the closing of an Initial Public Offering (“IPO”) for C1 Fund Inc. Dentons Venture Technology, Capital Markets and Fund Compliance teams advised C1 Fund on its registration and IPO on the NYSE closing on August 8, 2025, and also advised C1 Advisors LLC, an affiliate of the Fund that will serve as investment adviser to the Fund, in connection with its registration with the SEC. The IPO raised US$60 million for investments in equity and equity-linked securities of private digital assets and blockchain technology companies globally. C1 Fund is the first publicly traded investment fund focused on investing in private digital assets and blockchain technology companies.
The transaction was led by Capital Markets Partner Brian Lee based in New York, Blockchain and Venture Technology Partner Jackson Hwu based in Miami and Fund Compliance Partner Wendell Faria based in Washington D.C., with support provided by Managing Associate Joel Aschbrenner and Tax Partner John Harrington.
