Course Overview

Corporate law is the bedrock of the business world. Into Legal World in collaboration with CMR University, Bengaluru presents this “Certificate Course on Practice and Procedure in Corporate Law” to provide a deep understanding of the procedural aspects of corporate law under Companies Act, SEBI Regulations and Insolvency and Bankruptcy Code. From incorporation to dissolution, this course covers every critical procedure required in the lifecycle of a company. You will gain hands-on experience in drafting key documents, filing regulatory forms, managing compliance, and resolving corporate disputes.

​​Module 1: Incorporation and Structure of Companies

  • How do you register and incorporate a company under the Companies Act, 2013? [Procedure for filing SPICe+ (Form INC-32), Verification of documents for incorporation (Section 7), DSC and DIN requirements (Sections 153-159)]
  • What are the steps for drafting and filing the MOA and AOA? (Sections 4, 5 and Companies (Incorporation) Rules, 2014).

Module 2: Corporate Governance and Management

  • What is the procedure for appointing directors and KMPs? [Section 149, Section 152, Filing DIR-12 and requirements under Rule 8 of Companies (Appointment and Qualification of Directors) Rules, 2014]
  • How do you conduct board meetings and AGM/EGM? (Notice, Agenda, Quorum, Resolutions, Requirements under Secretarial Standard-1 (SS-1), etc.]
  • What is the procedure for removal and resignation of directors? (Section 168, 169, DIR-11 Filing)

Module 3: Corporate Finance and Securities Regulations

  • How are shares issued through private placement (Section 42, PAS-4 filing) or public offer (Section 23, read with SEBI (ICDR) Regulations, 2018)?
  • What are the steps for altering share capital? (Section 61, Section 66, SH-7 Filing)
  • What are the disclosure requirements for a company under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015?

Module 4: Share Transfers, Buybacks & Dematerialization

  • Procedure for share transfers (private & public companies)
  • Buyback rules under the Companies Act, 2013
  • Demat process & role of depositories

Module 5: Mergers, Acquisitions, and Corporate Restructuring

  • What is the process for filing a merger or demerger application with NCLT? (Sections 230-232, Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, Form GNL-1, CAA-9)
  • What are the procedural requirements for cross-border mergers? (Section 234 and RBI approval)
  • How is due diligence conducted during M&A transactions?
  • Takeovers and open offers under SEBI (SAST) Regulations.

Module 6: Winding Up and Insolvency Procedures

  • What are the steps involved in Voluntary Liquidation of a Company under IBC? (Section 59, Insolvency and Bankruptcy Board of India (Voluntary Liquidation Process) Regulations, 2017)
  • What are the steps involved in corporate insolvency under the IBC?

Module 7: Compliance and Regulatory Filings

  • How do you file annual returns and financial statements? (Sections 92, 137, Section 92(5), Form Filing AOC-4 and MGT-7)
  • What is the process for filing resolutions with RoC? (Section 117 and MGT-14 requirements)
  • How are compliance audits conducted?
  • Board Reports [Section 134 r/w Rule 8 of Companies (Accounts) Rules, 2014]

Module 8: Dispute Resolution and Litigation in Corporate Law

  • What is the procedure for initiating a case before NCLT? (NCLT Rules, 2016)
  • How are minority shareholder rights protected? (Sections 241-242)
  • What is the role of arbitration in corporate dispute resolution?

Module 9: Corporate Social Responsibility (CSR) Compliance

How is a CSR policy framed and implemented? (Section 135, Companies (CSR Policy) Rules, 2014.)

Module 10: Drafting and Documentation in Corporate Law

  • What are the essential clauses in SHA, JVA, SPA, MSA, SSPA, NDA, Call Option Agreement, employment contracts etc.?
  • Drafting offer documents, private placement letters
  • Stamp duty compliance under Indian Stamp Act, 1899.
